Up State Investigative Services, a private investigative agency, duly licensed and under the laws of the State of Georgia, and the undersigned Client hereby agree and contract for certain investigative services according to the terms of this contract.

1. Client hereby retains and authorizes Upstate Investigative Services and its agents to conduct an investigation with the objectives to determine: services to be specified.

2. Up State Investigative Services will exert its best efforts to meet the investigation objectives; however, Client understands and agrees that the investigation objectives may or may not be obtainable and that Up State Investigative Services has made no guarantee concerning the results of the investigation.

3. Client understands that Up State Investigative Services has no control over, nor any liability for, any use made by the Client or any information obtained as a result of the investigation and agrees to indemnify and hold Up State Investigative Services harmless from any and all damages suffered, and/or any and all expenses incurred by the Client's use of the investigative results.

4. Up State Investigative Services and Client agree that the fee to be paid by the Client for investigative services shall be:
     A. Fifty-Six Dollars ($56.00) per hour, per investigator; plus thirty-Eight ($00.38) cents per mile for use of any automobile and all actual expenses incurred on behalf of Client.
     B. The minimum billing for this investigation is [varies] dollars. Client shall pay a retainer in the amount of [varies]. Said retainer is in consideration of the Client's desire to initiate the investigation. It is agreed that if said investigation is canceled, hourly fees and expenses earned and/or incurred by Up State Investigative Services shall be deducted from the retainer and the balance returned to the Client. If investigative costs exceed the retainer, the retainer will be applied toward said costs and Client will either be invoiced for the moneys due or Up State Investigative Services will require that the retainer be replenished.

     C. Client agrees that upon completion or termination of the investigation and/or upon presentation of an invoice for investigative services, the invoiced amount will be paid in full. Any moneys due Up State Investigative Services over thirty (30) days will be assessed a ten percent (10%) interest charge per month.

5. If it becomes necessary for Up State Investigative Services to take any legal action to collect moneys due under this contract, Client agrees to pay all costs of collection to include payment of reasonable attorney fees.
